Billing terms

You will be billed every 30 days from the initial start date of your signup for the dollar amount that you signed up for. TinyCDN/Quotient will attempt to charge your card 3 times over a period of 72 hours at which time our systems will get tired and your account will be disabled. If you go over the package limits we will automatically upgrade you to the next package. This will mean you are permanently upgraded and will have to manually downgrade. TinyCDN assumes that you have become really popular and in no way do we want to hinder this, so we send out some emails to you letting you know we are going to upgrade you and then at some point we upgrade you. Note: we only upgrade you if you hit the limit and not just because we feel like it

What not to upload

Porn, illegal software, cracks, warez, torrents, material copyrighted by someone else or anything related to anything illegal in any of the 50 states or any country where we could get in trouble. When in doubt, email us first we will get back to you really quickly. Most times "at the end of the day" the TinyCDN team and its huge legal team have full discretion as to use of the system including what gets uploaded. We are proud of TinyCDN and want it used for the right reasons and with the right content.

Who owns the files after they are uploaded?

You own them, we are just moving them from A to B. By using TinyCDN you are in no way transferring ownership, liability or responsibility to us. It's your stuff, its our system.

What do we own?

We came up with this idea first, we own it. By using the TinyCDN system you fully agree not to copy it, you also fully agree that we came up with this idea and you are happy to be using it. Our idea was to take huge cdn providers similar to Amazon S3 and Cloudfront and mash them together and make them easy to use with a middle layer application that allows you to manage and optimize files.TinyCDN decided to get a trademark on the name. So we own it too. If you try to use that name or anything confusing similar, you agree to transfer your goodwill and other goodies that you create related to our mark.

Termination

We reserve the right to terminate your account for any reason and at any time. While this is not a good thing for either of us, sometimes things just aren't a good fit. We will immediately terminate you if you violate any of the use terms above or try to harm our systems in any way. If this happens to you, you fully agree to let us keep your un utilized payment to pay our staff over time to fix any issues you might have caused. Billing/Payment issues will cause a graceful termination and you will be given plenty of warning ahead of time.

Liability

You agree that TinyCDN, INC. and Quotient Solutions, INC. and any of the team here are not liable for ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF TINYCDN OR PARTNERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM: (i) THE USE OR THE INABILITY TO USE TINYCDN SERVICES; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM TINYCDN SERVICES; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON TINYCDN SERVICES; OR (v) ANY OTHER MATTER RELATING TO TINYCDN SERVICES.

Limitation of Damages Venue

The limit to the amount of damages owed by TinyCDN, Inc. or Quotient Solutions, Inc. will be the total amount paid by you to us. In other words, at the most you can get a refund.

Venue and Choice of Law

If there is a disputed about TinyCDN or how it was sold or anything else related to this agreement, a lawsuit will only be proper in a court of competent jurisdiction in Austin, Texas. Why Austin? It is just that nice of a place. This document will also be governed by Texas law regardless of what a choice of law statute may say. God Bless Texas!
